These Terms govern access to and use of euroxenpay.com. The Website is intended exclusively for businesses and professional users, and is provided for general information, product presentation and business contact purposes only. No payment service, financial service or other commercial service can be contracted solely through the Website.

For the purposes of these Terms, the entity above is referred to as the “Website Operator.” The Website Operator operates the Website and coordinates the presentation of services offered through the Euroxen Pay network.

Operation of this Website does not mean that the Website Operator itself provides every product, payment method, financial service, technical service or other service described on the Website.

Euroxen Pay Network

Euroxen Pay is a commercial and technology brand used in connection with a network of independent entities, technology companies, financial service providers, payment providers and other service partners operating across different jurisdictions.

The Euroxen Pay network may involve entities and service providers located or operating across Europe, the Americas and other international markets.

References on the Website to “Euroxen Pay”, “Euroxen”, “we”, “our”, “our infrastructure” or similar terminology are used for commercial presentation and convenience and should not, unless expressly stated otherwise, be interpreted as identifying a single legal entity providing all services displayed on the Website.

Euroxen Pay itself is not necessarily the contracting legal entity for a particular service. The identity and role of the relevant contracting entity or entities will be disclosed to the prospective business customer during onboarding and before or as part of the execution of the applicable contractual documentation.

Different Entities May Provide Different Services

The entity or entities involved in providing services to a customer may differ depending on factors including:

  • the customer's jurisdiction
  • the customer's business model and industry
  • requested products and services
  • payment methods
  • currencies
  • settlement requirements
  • transaction flows
  • applicable regulatory requirements
  • risk assessment
  • banking and payment infrastructure
  • technical requirements
  • availability of third-party providers

Accordingly, two customers using services presented under the Euroxen Pay brand may have different contracting entities, service providers, payment partners, banking partners, technical providers or contractual structures.

A business should therefore not assume that a particular Euroxen Pay entity, partner or service provider applicable to another customer will also apply to it.

Individual Contracting

All commercial services are provided subject to a separate contractual process.

Submitting a contact request, requesting information, attending a meeting, communicating with a Euroxen Pay representative, accessing documentation or viewing information on the Website does not create a contractual relationship for payment or financial services.

Before services are activated, the prospective customer may be required to undergo onboarding, KYB, due diligence, compliance, risk and other internal or third-party assessments. Where an application is accepted, the applicable contractual structure will be communicated separately. Depending on the service, this may include a:

  • Merchant Agreement
  • Service Agreement
  • Framework Agreement
  • Order Form
  • Pricing Schedule
  • Processing Agreement
  • Data Processing Agreement
  • Partner Agreement
  • other individual contractual documentation

The applicable agreement will identify the relevant contracting entity or entities and, where applicable, describe the involvement of third-party service providers.

Priority of Individual Agreements

These Terms govern use of the Website only.

They do not replace any Merchant Agreement, Service Agreement, Order Form, Pricing Schedule or other agreement entered into between a customer and a member or service provider of the Euroxen Pay network.

If there is any inconsistency between information contained on this Website and an individually executed agreement, the executed agreement shall prevail in relation to the services covered by that agreement.

The customer’s rights and obligations concerning actual payment or other commercial services are determined by the applicable contractual documentation and not by these Website Terms.

Business Users Only

Euroxen Pay is intended for business and professional customers.

The services presented on the Website are not intended to constitute an offering to consumers acting primarily for personal, family or household purposes. The Website is primarily intended for businesses including, depending on eligibility:

  • merchants
  • e-commerce businesses
  • payment service businesses
  • payment facilitators
  • technology companies
  • SaaS companies
  • digital businesses
  • online platforms
  • gaming and entertainment businesses
  • crypto and digital asset businesses
  • other commercial enterprises

Nothing on the Website constitutes an offer of consumer financial services.

The primary purposes of the Website are to:

No Offer or Commitment to Provide Services

Nothing contained on the Website constitutes:

  • a binding offer
  • an acceptance of a customer
  • a commitment to provide services
  • a guarantee of onboarding
  • a guarantee of account approval
  • a guarantee of transaction processing
  • a guarantee of banking access
  • a guarantee of settlement
  • a financial recommendation
  • a representation that a particular product is legally or commercially available to every visitor

Any decision to establish a business relationship remains subject to applicable onboarding procedures, internal approval, compliance requirements, partner requirements and execution of the applicable agreement.

The Website Operator and relevant Euroxen Pay network participants reserve the right to decline a prospective business relationship where permitted by applicable law.

Products, capabilities and geographic coverage displayed on the Website represent services or infrastructure that may be available within the wider Euroxen Pay network. They should not be interpreted as a guarantee that every displayed service is available to every customer.

Availability may depend on jurisdiction, customer type, industry, transaction profile, currencies, payment methods, regulatory requirements, risk assessment and third-party infrastructure. In particular, references to:

  • supported countries
  • supported currencies
  • settlement currencies
  • card acquiring
  • alternative payment methods
  • bank payments
  • global banking
  • crypto settlement
  • merchant dashboards
  • APIs
  • payment processing
  • payment infrastructure

describe the broader capabilities that may be available through Euroxen Pay and its network. The precise services available to a customer will be established during onboarding and documented in the applicable agreement.

Statistics and Coverage Information

Statistics, figures, geographic representations and coverage information displayed on the Website, including references to numbers of countries, currencies, settlement currencies, transaction volumes or similar metrics, are provided for general informational and commercial presentation purposes.

Such figures may represent capabilities, historical activity, aggregated network coverage, provider coverage or infrastructure available across the Euroxen Pay network. They do not constitute a contractual guarantee that any particular customer will receive access to the entire stated coverage.

Actual availability must be confirmed for the customer’s specific requirements.

Third-Party Service Providers

Certain services presented under the Euroxen Pay brand may be provided, processed, supported or facilitated partly or entirely through third-party providers. These may include, depending on the relevant service:

  • banks
  • payment service providers
  • payment processors
  • card acquirers
  • financial institutions
  • banking infrastructure providers
  • digital asset service providers
  • liquidity providers
  • technology providers
  • identity verification providers
  • compliance providers
  • other specialist service providers

Euroxen Pay entities may remain involved in the commercial, technical, operational or contractual relationship while certain underlying components are performed by third parties. The exact structure applicable to a customer will be determined during onboarding and, where relevant, reflected in the applicable contractual documentation.

Regulatory Status

Different entities and third-party providers participating in the Euroxen Pay network may operate under different legal, regulatory, licensing or registration frameworks.

No statement on this Website should be interpreted as meaning that every Euroxen Pay entity holds the same licences, registrations or regulatory permissions. Likewise, the regulatory status of one entity or third-party provider must not be attributed to another entity solely because services are presented under the Euroxen Pay brand.

Where a regulated or otherwise specifically authorised entity is required for a particular service, the relevant service structure and responsible provider will be determined in accordance with applicable requirements. Any applicable regulatory information relevant to the customer’s specific service arrangement may be provided as part of the onboarding or contractual process.

No Regulatory Reliance

The Website is not intended to provide legal, regulatory, tax, accounting or financial advice.

Nothing on the Website should be relied upon as confirmation that a particular service is regulated, exempt from regulation or legally available in a particular jurisdiction.

Businesses are responsible for obtaining their own professional advice regarding the laws and regulations applicable to their activities.

Geographic Availability

The Website may be accessible internationally.

Accessibility of the Website from a particular country does not mean that Euroxen Pay actively offers, solicits or provides every displayed service in that jurisdiction. Services may be unavailable or restricted in certain jurisdictions.

Euroxen Pay may determine availability based on applicable law, internal policies, provider coverage, risk appetite and commercial considerations. A visitor is responsible for complying with laws applicable to their access and use of the Website.

No Banking or Financial Relationship Created by Website Use

Accessing the Website, submitting a contact form, receiving marketing material, communicating with representatives or obtaining preliminary commercial information does not create:

  • a bank account
  • a payment account
  • a merchant account
  • an electronic money account
  • a crypto or digital asset account
  • a fiduciary relationship
  • a payment processing relationship
  • any other financial services relationship

Such relationships exist only where expressly established through the applicable contractual and onboarding process.

Pricing

Any pricing, fees, percentages or commercial terms displayed on the Website are indicative unless expressly stated otherwise.

Final pricing may depend on factors including volume, geography, industry, payment methods, currencies, transaction characteristics, settlement requirements, risk profile and provider costs.

Only pricing contained in or incorporated into an applicable executed agreement or separately accepted commercial document shall be binding.

Technical Information and API Documentation

Technical specifications, API documentation, integration examples, diagrams, workflows and other technical material made available through the Website are provided for informational and integration planning purposes.

Such information may be updated, replaced or modified as Euroxen Pay’s infrastructure and provider relationships evolve. Availability of an API endpoint, integration method or technical capability does not by itself constitute a commitment to provide the underlying service.

Production access may require onboarding, technical approval, credentials and execution of applicable agreements.

Accuracy of Information

We seek to maintain accurate and current information on the Website.

However, payment infrastructure, provider coverage, currencies, regulations, technical integrations and product availability can change. The Website Operator therefore does not warrant that every piece of information displayed on the Website is complete, current or free from error at all times.

Prospective customers should rely on information confirmed during the commercial and contractual process when making decisions concerning a particular service.

Intellectual Property

Unless otherwise indicated, the Website and its contents, including its design, branding, graphics, text, software, interfaces, documentation, trademarks, logos and other materials, are owned by or licensed to the Website Operator or relevant members of the Euroxen Pay network.

No intellectual property rights are transferred to visitors through access to the Website.

Content may not be copied, reproduced, modified, distributed, commercially exploited or used to create derivative materials without prior written permission, except where such use is permitted by applicable law. Third-party trademarks and logos remain the property of their respective owners.

Such third parties operate independently and may maintain their own terms, privacy policies and contractual requirements.

Unless expressly stated otherwise, the Website Operator does not control and is not responsible for third-party websites or their content.

Limitation of Liability

To the maximum extent permitted by applicable law, the Website Operator shall not be liable for losses arising solely from:

  • reliance on general information displayed on the Website
  • temporary Website unavailability
  • technical errors or interruptions
  • outdated or incomplete Website information
  • third-party websites
  • changes to products or service availability
  • a decision not to enter into a commercial relationship with a prospective customer

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

Any liability relating to services actually provided under a Merchant Agreement, Service Agreement or other commercial agreement shall be governed by that agreement rather than this Section.

No Warranty

The Website is provided on an “as available” basis.

To the extent permitted by applicable law, the Website Operator makes no warranty that the Website will always be uninterrupted, error-free, secure or continuously available.

Descriptions of products, capabilities, infrastructure or future functionality are not warranties regarding future availability.

Data Protection

Personal data collected through the Website is processed in accordance with the applicable Privacy Policy. The Website may also use cookies or similar technologies as described in the applicable Cookie Policy.

Where a business subsequently enters into a commercial relationship with an entity within the Euroxen Pay network, additional privacy notices, data processing terms or third-party privacy policies may apply.

Changes to the Website and Services

The Website Operator may modify, update, remove or add Website content, product descriptions, integrations, geographic coverage, technical capabilities or other information at any time.

Such modifications do not amend an existing customer’s executed agreement unless the relevant agreement permits such amendment or the parties separately agree to it.

Changes to These Terms

These Terms may be updated from time to time.

The current version will be published on the Website together with its effective or last updated date. Changes to these Website Terms do not automatically modify separately executed commercial agreements.

Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions shall continue in effect to the maximum extent permitted by law.

No Waiver

Failure by the Website Operator to enforce any provision of these Terms shall not constitute a waiver of that provision or any other right.

Governing Law

These Terms and use of the Website shall be governed by the laws of the Republic of Costa Rica, without prejudice to any mandatory provisions of law that cannot lawfully be excluded.

The governing law and jurisdiction applicable to individual payment, merchant, processing or other commercial services may differ and will be specified in the applicable agreement.

Entire Website Terms

These Terms constitute the agreement between the Website Operator and the visitor solely in relation to access to and use of the Website.

They do not constitute a Merchant Agreement, payment services agreement or other agreement for the provision of Euroxen Pay services.

No commercial or payment service relationship is established until the relevant parties have completed the applicable onboarding process and entered into the required separate contractual documentation.
